AI based investment consultants have been consistently recommending Shervani Industrial Syndicate for Sale because over the past few quarters sales and profits are going down.

What AI misses out is the reason why  sales / profits are going down.

Real Reason

Shervani Industrial is in the process of construction a building -Victory Tower at Prayagraj-Allahabad . These are around 250 flats and commercial  spaces  The sale value of these could be Rs. 200 crore +. - PLEASE RECHECK THIS

 It appears  that a Real Estate  company cannot include in its accounts the profit made from a sale of flat etc till a Conveyance / Registration Deed is registered  -PLEASE RECHECK this point

Turnover / profits of the company can jump when  more Registrations are done.

Shervani Industrial 's partly constructed flats are reflected as Inventories in the 2025-2026 financials . Sales / Profits can jump once these sale registrations - Conveyance Deeds are registered.

HISTORY

Established in 1948 , at Allahabad , by the deeply patriotic and enterprising Shervani family , GEEP ( Great Eastern Electro Plating ) sought to contribute to independent India's self reliance in electroplating industry. Electroplating technology was used by it for manufacturing torches ( famous Geep brand ).In due course it began to produce batteries. In the post globalization scenario , Geep sold out its traditional torch / battery business to Multinational- Gillette.



After closing down its battery / torches manufacturing facility at Allahabad , Shervani Industrial Syndicate Ltd. is , currently , in the process of selling machinery . It proposes to develop its very substantial and highly valuable land for REAL ESTATE projects.

To the best of our knowledge ( which please recheck ) the extent of land bank of Shervani Industrial Syndicate Limited in the posh Suleman Serai area of Allahabad is between 30 to 35 acres.

Shervani Industrial Syndicate is cash rich . Its sticky investment in Shervani Sugar Syndicate Ltd. have been provided for. There may be some gains  by way of recovery of amounts earlier provided for in the Books of Account here as sugar prospects had improved substantially .

Tara Snacks And  Foods Ltd. ( now renamed Farco Foods Limited) , a loss making entity ,is its subsidiary.

Another associate Company Shervani Hospitalities Ltd ( of which Shervani Industrial holds shares ) which has hotels in Nainital, New Delhi etc ( Nehru Place Hotel opening shortly )should be doing well as Hotel prospects have improved greatly.

As an unlisted public company with a substantial base exceeding 500 shareholders, the lack of a secondary market creates severe liquidity challenges for minority investors. While we appreciate the management’s operational efforts, shareholders require a transparent, regulatory-compliant exit mechanism to realize the fair value of their investments. [1]
Therefore, I formally request the Board of Directors to evaluate and execute one of the following capital structuring options:
Listing via IPO: Initiate an Initial Public Offering (IPO) to list the company's shares on the BSE or NSE mainboards, or the SME platform, in compliance with the SEBI (Issue of Capital and Disclosure Requirements) Regulations.

 
Share Buyback: Launch a share buyback program under Section 68 of the Companies Act, 2013, utilizing the company's free reserves or securities premium account to offer an immediate, equitable exit route for shareholders.
Given that the investor base exceeds the threshold for public scrutiny, establishing a clear liquidity roadmap is critical. I request the Board to table this matter at the next Board Meeting and provide an update at the upcoming Annual General Meeting (AGM).
