Mac Charles Open Offer - Guidance Wanted From Readers / Investors

Mac Charles ( India ) listed in BSE, now has , New Owners who would  make Open Offer @ 670 / Share , in December 2016 , to remaining  Public Shareholders ( holding 25 % Equity ).  BUT NO DELISTING

With this open offer, Public Shareholding would fall below 25 % which is the minimum required for remaining Listed.

But , Mac Charles ' new Promoters are not Delisting.

New Promoters would ensure minimum 25% Non Promoter - Public holding.

Mac Charles - Rs.670/ Share- Is it Full Consideration ?

 Regarding the deal of Le Meridian Pune, Pardhanini has shown it as disputed deal, which after 2 years he shows that the company got back the amount of investment (only) in a settlement without any interest/dividend/penalty.  

But the sale of promoter's (Pardhanini) complete holding in the company to another Jitu Verwani creates a big doubt. 

Has any other big amount ,also , changed hands ?

 He has made a similar settlement in Pune case where he shown up recovery of invested amount only, which is impossible in the case of real-estate value within two years becomes double.
